The Deal Netflix Walked Away From

In December 2025, Netflix agreed to buy Warner Bros.’ studios and streaming business in a deal valued at about $72 billion. It had won the auction.

Then Paramount Skydance came back with a hostile bid for the whole company, and in February 2026 it raised its offer to $31 a share. Warner Bros. Discovery’s board judged it superior. Netflix had the right to match.

On 26 February, it declined. In its statement, Netflix said the deal had always been “a ‘nice to have’ at the right price, not a ‘must have’ at any price”. It left with a break-up fee of $2.8 billion, and its share price rose.

Walking away from a deal you’ve already won is one of the hardest things in business. The investment of time, the public commitment and the prospect of losing to a rival all push you to raise your bid just once more. Economists call the result the winner’s curse: the bidder who wins an auction is often the one who most overestimated what the prize was worth.

Netflix’s decision relied on something decided long before the final round: a walk-away point. The price beyond which the deal no longer made sense, set while heads were still cool.

Paramount’s victory brought its own challenges. The acquisition was approved by Warner’s shareholders and by the US Department of Justice, but a group of state attorneys general sued to block it, and Paramount agreed to a series of commitments to settle the case in September 2026. Whether it paid the right price is something only time will tell.
